These Terms of Service ("Terms") govern your access to and use of the AutoApprove application and related services ("Service"), operated by AutoApprove ("we", "us", "our"). By installing or using the Service, you ("Merchant", "you") agree to these Terms. If you do not agree, do not use the Service.

1. The Service

AutoApprove reads purchase orders that you provide (as PDF, email, spreadsheet, or image files) and creates draft orders in your Shopify store. The Service uses automated processing, including AI, to extract line items and match them to your products. AutoApprove never places, sends, or fulfills an order on its own — every order is created as a draft that you review and approve.

2. Eligibility and account

You must have a Shopify store and the authority to install apps on it. You are responsible for activity under your account and for keeping your access secure.

3. Subscriptions, billing, and usage

The Service is offered on subscription plans (including a free tier) billed through Shopify's Billing API. Plans include monthly usage limits (a set number of processed orders); the count resets each billing cycle. By selecting a paid plan you authorize the recurring charge via Shopify. Charges are handled by Shopify under Shopify's terms. Except where required by law, fees are non-refundable. We may change pricing with reasonable notice.

4. Your responsibility to review

The Service produces draft orders generated by automated and AI-based processing. Automated extraction can contain errors (for example, an incorrect SKU, quantity, or price). You are solely responsible for reviewing and verifying every draft order before approving, placing, or fulfilling it. We are not liable for orders you approve or fulfill.

5. Acceptable use

You agree not to misuse the Service, including: uploading unlawful content, attempting to disrupt or reverse-engineer the Service, exceeding or circumventing plan limits, or using the Service to violate any third party's rights or applicable law.

6. Data

Your use of the Service is also governed by our Privacy Policy. You are responsible for the data you submit (including purchase orders and any personal data they contain) and for having the necessary rights and consents to submit it. We process data on your behalf to provide the Service and do not sell it.

7. Third-party services

The Service relies on third parties, including Shopify (platform and billing), and processors used for document extraction and email delivery. Your use of Shopify is subject to Shopify's own terms. We are not responsible for third-party services outside our control.

8. Intellectual property

We retain all rights in the Service, including its software and design. You retain all rights in your store data and content. These Terms grant you a limited, non-exclusive, non-transferable right to use the Service while your subscription is active.

9. Disclaimers

The Service is provided "as is" and "as available", without warranties of any kind, express or implied, including any warranty of accuracy, merchantability, or fitness for a particular purpose. We do not warrant that extraction or matching will be error-free.

10. Limitation of liability

To the maximum extent permitted by law, we will not be liable for any indirect, incidental, special, or consequential damages, or for lost profits, revenue, or data. Our total liability for any claim relating to the Service will not exceed the amount you paid us for the Service in the three (3) months before the claim.

11. Termination

You may stop using and uninstall the Service at any time. We may suspend or terminate access if you breach these Terms or misuse the Service. On uninstall or termination, we handle your data as described in the Privacy Policy, including via Shopify's data-removal webhooks.

12. Changes

We may update these Terms from time to time. Material changes will be posted here with an updated date; continued use of the Service after changes means you accept them.

13. Governing law

These Terms are governed by the laws of [YOUR JURISDICTION — e.g., Poland], without regard to conflict-of-law rules. Disputes will be subject to the courts of that jurisdiction, unless applicable consumer law provides otherwise.
